JOINT VENTURE PARTNERSHIP AGREEMENT

This Joint Venture Partnership Agreement (“Agreement”) is made and entered into on [insert date] by and between Istockhomes (“Istockhomes”), and

______________________ with its principal place of business at [insert address] (“Other Party”).

WHEREAS, Istockhomes and Other Party wish to form a joint venture for the use of an internet domain _____________________(the “Domain”) for the purpose of Driving internet traffic and creating a community to help real estate professionals and businesses develop their business

WHEREAS, Istockhomes and Other Party intend to contribute certain resources, including but not limited to intellectual property, expertise, and financial resources, towards the joint venture;

NOW, THEREFORE, in consideration of the premises and mutual covenants and agreements contained herein, the parties agree as follows:

  1. Formation of Joint Venture The parties hereby agree to form a joint venture for the purpose of utilizing the Domain for Driving internet traffic and creating a community to help real estate professionals and businesses develop their business. The joint venture shall be known as ________________________________.
  2. Ownership and Use of Domain Istockhomes and Other Party shall jointly own the Domain for the purpose of operating the joint venture. Each party shall have equal rights to use and control the Domain, subject to the terms of this Agreement.
  3. Contributions Istockhomes and Other Party shall each contribute their respective resources towards the joint venture, including but not limited to intellectual property, expertise, and financial resources, as mutually agreed upon by the parties.
  4. Management and Operation The management and operation of the joint venture shall be jointly determined by Istockhomes and Other Party. The parties shall appoint a representative from each party to oversee the joint venture.
  5. Exception: The Domain name shall be hosted and kept under the control of Istockhomes.
  6. The Istockhomes Logo must be kept in place in the header of the website and must be fully visible and unaltered until such a time that the entire website and domain get purchased by a third party.
  7. The “by Istockhomes” tagline must remain in place in the header of the website.
  8. The Property of and Managed by Istockhomes linking to the Istockhomes website must remain in place.
  9. Profits and Losses The profits and losses of the joint venture shall be shared equally by Istockhomes and Other Party. All revenues and expenses generated by the joint venture shall be allocated and accounted for in accordance with generally accepted accounting principles.
  10. Term and Termination This Agreement shall commence on the date first above written and shall continue until terminated by mutual agreement of the parties or upon completion of the purpose of the joint venture. Either party may terminate this Agreement upon written notice to the other party in the event of a material breach of this Agreement by the other party.
  11. Confidentiality Each party shall keep confidential all information and data relating to the joint venture and the Domain, and shall not disclose such information to any third party without the prior written consent of the other party.
  12. Governing Law This Agreement shall be governed by and construed in accordance with the laws of [insert governing law]. The parties irrevocably submit to the exclusive jurisdiction of the courts of [insert jurisdiction].
  13. Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, between the parties with respect to the subject matter hereof.
